Optima Camelview Village Concierge Service / Premiere Concierge Service (Operated by Premiere Concierge, Inc.) - Terms & Conditions Of Use:
By activating your account and/or enrolling into the Optima Camelview Concierge Service Program (Operated by Premiere Concierge, Inc.) and thereby or thereafter using the Optima Camelview Village / Premiere Concierge Service, you agree to all of the terms and conditions of the Optima Camelview Village / Premiere Concierge Service Usage Agreement ("Usage Agreement"). If you do not agree with any of the terms or conditions contained herein, please do not use the Optima Camelview Concierge Service Site/System and/or the Premiere Concierge Service (operated by Premiere Concierge, Inc.).
Optima Camelview Village Concierge Service / Premiere Concierge reserves the right to change, modify, add or remove portions of this Usage Agreement or the terms or conditions contained herein at any time. Changes to the agreement will be periodically made and included in a new "Usage Agreement" which will be posted in replacement of the old "Usage Agreement". Your continued use of the Optima Camelview Village Concierge Service / Premiere Concierge Service program following the posting of any changes will mean that you have accepted the changes.
Definitions.
The Optima Camelview Village Concierge Service / Premiere Concierge Service (the "Service") is the premium information and service coordination offering provided by Premiere Concierge, Inc., consisting of information services, the facilitation of select product or item purchases (either directly and/or on behalf of a third party vendor, or on behalf of the Optima Camelview Village Condo Association HOA) and/or other item purchasing and content provided by Premiere Concierge, affiliates of Premiere Concierge, and third parties. "You" or "yours" refers to each person who establishes an authorized account ("Account") or who is authorized to access and use the Service.
General.
The Registration Form, this Usage Agreement and any other Optima Camelview Village Concierge Service / Premiere Concierge policies relating to the use of the Service (collectively, this "Agreement") set forth the terms and conditions that apply to your use of the Service. By submitting the Optima Camelview Village Concierge Service Registration Form, or by using the Service, you are deemed to have agreed to comply with all of the terms and conditions of this Agreement. The right to use the Service is personal to you and only you.
Usage.
You have been given a complimentary Optima Camelview Village Concierge Service / Premiere Concierge Service account including a pre-determined amount of minutes of usage. Your allotment of minutes will be deducted as the service is used. The minutes are calculated from the time an Optima Camelview Village Concierge Service / Premiere Concierge Service team member picks up the phone or reviews an online request or email submission, to the time your question is answered and delivered or your task is completed.
While the Optima Camelview Village Concierge Service / Premiere Concierge Service account may be complimentary, you may only sign up one person to use the service on your account. You may only call from the phone number registered on the account. You are directly responsible for any additional charges your inquiry/request may incur – for example; cost of replacement items, cost of event tickets, cost of dry cleaning expenses etc.
Your use of the Service constitutes your agreement to all of the terms, conditions and notices below in addition to the general terms and conditions contained in this Agreement. If you do not agree with these provisions, please do not use the Services. As stated above, Optima Camelview Village Concierge Service / Premiere Concierge Service reserves the right to change, modify, add or remove portions of this Usage Agreement at any time. Please check the "User Agreement" (Terms Of Use link on our web site) section of the Service periodically for any such changes. Your continued use of the Service following the posting of any changes will mean that you have accepted the changes.
Optima Camelview Village Concierge Service / Premiere Concierge Service reserves the right to refuse service based on the type of requests. As a general rule, the service will not provide information that will be used in a crime, considered illegal by any government body or that the concierge professional and/or phone agent deems inappropriate. Optima Camelview Village Concierge Service / Premiere Concierge Service reserves the right to cancel an account based on conduct by the calling party.
In General
As a condition of using the Service you agree to abide by all applicable local, state, national and international laws and regulations relevant to the use of the Service. In addition, you warrant that you will not use the Service for any purpose that is unlawful or prohibited by this Agreement (including, without limitation, any use that infringes another's copyright rights). You may not use the Service in any manner that could damage, disable, overburden or impair the Optima Camelview Village Concierge Service / Premiere Concierge Service Web site, the Optima Camelview Village Concierge Service / Premiere Concierge Service Concierge Call Center, any user of the Web site, any user of the Call Center, or interfere with any other party's use of the Service.
Copyright and Trademark Protection
All materials contained on the Optima Camelview Village Concierge Service / Premiere Concierge Service site (including, without limitation, the Web site's "look and feel," layout, design, text, software, images, graphics, video and audio content "Materials") are the property of Premiere Concierge, Inc., its partners and its affiliated companies or licensors and are protected by U.S. copyright, trademark and other intellectual property laws and international treaties.

Links and query results to other Internet resources are provided for your convenience. These online resources have been chosen by Optima Camelview Village Concierge Service / Premiere Concierge Service due to their ease of use and relevance of information, and such resources' development and maintenance are not under the direction of Premiere Concierge, Inc. Thus, the content, accuracy, opinions expressed and other links provided by these resources are neither verified by the Optima Camelview Village Concierge Service / Premiere Concierge Service nor endorsed by Premiere Concierge, Inc. (or any of its private label concierge service programs, or clients).

Web Searches
A significant portion of the Optima Camelview Village Concierge Service / Premiere Concierge Service involves our phone agents visiting online resources on behalf of the User. Optima Camelview Village Concierge Service / Premiere Concierge Service reserves the right not to visit any website Optima Camelview Village Concierge Service / Premiere Concierge Service deems inappropriate for any reason by any the Optima Camelview Village Concierge Service / Premiere Concierge Service phone agent/employee. If the data needed was not retrieved because it was contained or listed on an inappropriate website, then the User does not qualify for a "minutes used" reimbursement.
Call Recording
User understands that all telephone calls to Optima Camelview Village Concierge Service / Premiere Concierge Service may be monitored for quality assurance purposes. User understands that all telephone calls to and from Optima Camelview Village Concierge Service / Premiere Concierge Service will be recorded, and might be reviewed for quality assurance purposes at any time. Recorded phone call conversations will only be accessible to the Optima Camelview Village Concierge Service / Premiere Concierge Service Quality Assurance Team and will be kept on a remote secure server for a duration deemed necessary.
All inquiries, queries, service requests submitted to Optima Camelview Village Concierge Service / Premiere Concierge Service in any form or fashion will become property of the Optima Camelview Village Concierge Service / Premiere Concierge Service and its partners or subsidiaries along with the answer and replies. Optima Camelview Village Concierge Service / Premiere Concierge Service reserves the right to anonymously publish any websites, questions, queries, comments, responses, or any other form of media whether voice recorded, written, transcribed, text messaged, or any other form of communication for any purpose it sees fit. Optima Camelview Village Concierge Service / Premiere Concierge Service ensures that the identity of any of its members or any of the people that its members or Users requests searches on will be kept within its organization and not used for any other purpose other than history tracking.
Other Correspondence
User understands that all correspondence with Optima Camelview Village Concierge Service / Premiere Concierge Service whether it be written, emailed, text-messaged, spoken, or transmitted by any other form of communication may be kept on record for an unlimited duration, and will be used for the sole purpose of record keeping and quality assurance by Optima Camelview Village Concierge Service / Premiere Concierge Service.
Text messaging - User will not hold Optima Camelview Village Concierge Service / Premiere Concierge Service responsible for any lost text messages, emails, or any other correspondence generated by Optima Camelview Village Concierge Service / Premiere Concierge Service or User. User understands that due to Optima Camelview Village Concierge Service / Premiere Concierge Service’s lack of control on whether the electronic media sent over the public domain, that any resulting claims for loss of time, money, material or otherwise cannot be claimed against Optima Camelview Village Concierge Service / Premiere Concierge Service. If Optima Camelview Village Concierge Service / Premiere Concierge Service sends a response to a query whether text messaged or called in to a User and the User dos not receive the message, the User may call the Optima Camelview Village Concierge Service / Premiere Concierge Service query phone line and either ask for the answer to be verbalized or resent via text message. The User will not be charged for that call as long as the only purpose for the call is to retrieve an answer never received.
By agreeing to the terms and conditions of Optima Camelview Village Concierge Service / Premiere Concierge Service, the user can elect to opt out of receiving the text messages by calling the provided toll free number and opting out of the service.
Purchasing Authorizations
At the User's request, Optima Camelview Village Concierge Service / Premiere Concierge Service or its agents may purchase items either over the Internet or on the phone with third party vendors or from the Optima Camelview HOA with the User's credit card. In the event that the User initially wants the Optima Camelview Village Concierge Service / Premiere Concierge Service to make purchases for the User, the User will be asked for a credit card to be used for those charges. All voice authorizations will be digitally recorded and may be kept for an indefinite amount of time. All disputes with charges need to be addressed to your Credit Card Company or merchant first. Optima Camelview Village Concierge Service / Premiere Concierge Service does not warrant or stand behind any purchases made on the User's behalf. All invoices, shipping information, etc., will be sent directly to Users email address for vendor. Optima Camelview Village Concierge Service / Premiere Concierge Service or any of its agents are merely third parties here to facilitate the purchase. Optima Camelview Village Concierge Service / Premiere Concierge Service does not receive any monetary compensation from any of the transactions other than the administration and/or credit card convenience fees.
Optima Camelview Village Concierge Service Web Site Transactions / Purchasing Authorizations
For the convenience of the user/resident of Optima Camelview Village, certain items and/or amenity reservations may be purchased through the Optima Camelview Village Concierge Service Web Site. These items include; Replacement Key Fobs, Replacement Lobby Keys, Garage Door Remotes, Mail Box Keys, Air Filters, Party Room / Board Room Amenity Reservation Fees, etc. To facilitate such transactions, additional convenience and/or administration fees may apply. While every effort is made to ensure the highest level of proficiency from our vendors, all products, services, merchandise and information available through the Optima Camelview Village Personal Concierge and/or Premiere Concierge Service (and/or any of it’s subsidiary Personal Concierge Service Programs), all items are provided through “third party” vendors on an "as is" and "as available" basis without warranties of any kind, either expressed or implied, including implied warranties of merchantability or fitness for a particular purpose.
No Product / Service Warranties: In no event shall Optima Camelview Village Concierge Service (Operated by Premiere Concierge, Inc.) or the Optima Camelview Village HOA or Premiere Concierge, Inc. or any of their respective employees, agents, directors or officers be liable for any injury, loss, claim, damage, or any special, exemplary punitive, incidental or consequential damages of any kind, whether based in contract, tort or otherwise, which arises out of or is in any way connected with any use of our web sites or if ordered/purchased through our web site or via any team member of the Optima Camelview Village Personal Concierge Service and/or Premiere Concierge, Inc., even if a Optima Camelview Village Concierge / Premiere Concierge party has been advised of the possibility of such damages.
Usage by Children Under 18: We cannot prevent minors from using the Optima Camelview Village Concierge Service. But because financial information is sometimes necessary to process a request, Optima Camelview Village Concierge Service / Premiere Concierge Service / Premiere Concierge, Inc. is not responsible for any losses incurred as a result of information given by people under the age of 18.
Credit Card Purchases: By submitting your credit card information online (on any of our web sites) or providing this information to any of our team members (to execute a purchase on your behalf), you understand that authorization will remain in effect until you cancel it in writing, and also agree to notify Optima Camelview Village Concierge Service / Premiere Concierge, Inc. in writing of any changes in your account information at least 15 days prior to the next billing date (if a recurring charge is authorized). The user further understands that their card will be charged on the date of item order / purchase / service provided or reservation, or on the next business day. The user also accepts that that Optima Camelview Village Concierge Service / Premiere Concierge, Inc. may at its discretion attempt to process the charge again within 30 days (if the card is declined), and agree to an additional $45.00 charge for each time the card is processed, which will be initiated as a separate transaction from the authorized one time or recurring payment. The user certifies that they are an authorized user of the credit card / bank account provided and agrees that they will NOT dispute the transaction(s) with their bank or credit card company; so long as the items were provided and/or the amenity reservation was confirmed. In the event that the authorized charge is “disputed” by the user, an additional charge back fee of $45.00 will be liable for administration costs to resolve such disputes with the users’ credit card company or bank and/or to cover additional bank charges which Premiere Concierge, Inc. may incur as a result of any such unsubstantiated disputes. In the event that the bank card provided as payment for the item or amenity reservation is declined or the charge is disputed, the Optima Camelview Village Concierge Service, Premiere Concierge, Inc. and/or the Optima Camelview Village HOA Management will have the right to repossess the item (deactivate the item - if applicable) or cancel the reservation, with immediate effect.
Third Party Vendor Purchases:
At the User's request, Optima Camelview Village Concierge Service / Premiere Concierge Service or its agents may purchase items either over the Internet or on the phone with third party vendors or from the Optima Camelview HOA with the User's credit card. Intellectual Property Rights.
You acknowledge that the Service contains copyrighted material, trademarks, and other proprietary information owned by Premiere Concierge, Inc., Premiere Concierge and its licensors, and that your subscription does not confer on you any right, title or interest in or to the Service, the related documentation or the intellectual property rights relating thereto. Unauthorized copying of any portion of the Service may result in litigation under applicable copyright, trademark or other intellectual property laws or international treaties and loss of privileges granted pursuant to this Agreement.
Disclaimer of Warranty; Limitation of Liability.
YOU EXPRESSLY AGREE THAT USE OF THE SERVICE IS AT YOUR SOLE RISK. NEITHER PREMIERE CONCIERGE, INC. ITS AFFILIATES, NOR ANY OF THEIR RESPECTIVE EMPLOYEES, AGENTS, THIRD-PARTY CONTENT PROVIDERS OR LICENSORS MAKES ANY WARRANTY WHATSOEVER, INCLUDING WITHOUT LIMITATION: THAT THE OPERATION OF THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; AS TO THE RESULTS THAT MAY BE OBTAINED FROM USE OF THE SERVICE OR AS TO THE ACCURACY, RELIABILITY, AVAILABILITY, SUITABILITY, QUALITY, OR OPERATION OF ANY INFORMATION, SOFTWARE, OR SERVICE PROVIDED ON OR ACCESSIBLE FROM THE SERVICE.
THE SERVICE IS PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE AND NONINFRINGEMENT AND THE IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, OTHER THAN THOSE WARRANTIES WHICH ARE IMPLIED BY AND INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION UNDER APPLICABLE LAW.
IN NO EVENT SHALL PREMIERE CONCIERGE BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR LOSS OF BUSINESS OR PROFITS, OR FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE, OR INABILITY TO USE, THE SERVICE, EVEN IF PREMIERE CONCIERGE WAS PREVIOUSLY ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY OTHER CLAIM RELATED TO THE SERVICE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU. YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY ACCORDING TO JURISDICTION.
Indemnification.
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Optima Camelview Village Concierge Service / Premiere Concierge, Inc., its affiliates, partners, service providers and their respective directors, officers, employees, and agents from and against all claims and expenses, including attorneys' fees, arising out of the use or unauthorized copying of the Service or any of its content, the violation of this Agreement or any applicable laws or regulations, or arising out of your violation of any rights of a user by you or your Account.
Solicitations.
User understands that the Optima Camelview Village Concierge Service / Premiere Concierge, Inc. may send periodic notifications via email or text message with various notifications, reminders and the like. Optima Camelview Village Concierge Service / Premiere Concierge, Inc. will not be responsible for the content or frequency of these notifications. All notifications sent after the signup process will allow the customer/user the ability to opt out of any future notifications by either hitting a link if the solicitation is sent in the form of an email or by calling a toll free number if the solicitation is sent in the form of a text message to your cell phone. Optima Camelview Village Concierge Service / Premiere Concierge, Inc., its partners or affiliates will not be responsible for text message fees of any kind relating to any text messages received from the Optima Camelview Village Concierge Service / Premiere Concierge, Inc. server or the servers of any of its subsidiaries, partners or service providers.
Optima Camelview Village Concierge Service / Premiere Concierge, Inc. guarantees that we will not resell or share your contact information with any outside entity or agency for any reason whatsoever. All information is stored on our secure server using the most secure SSL certificate and all information is encrypted for the utmost protection.
Miscellaneous.
This Agreement is entire and complete, and no representations, warranties, agreements or covenants, express or implied, of any kind or character whatsoever have been made by either party to the other, except as expressly set forth in this Agreement. Except as provided herein, this Agreement may not be modified or changed unless in writing and signed by you and an authorized officer of Optima Camelview Village Concierge Service / Premiere Concierge, Inc.
Additional Terms & conditions Of Use of the Optima Camelview Village Concierge Service / Premiere Concierge Program (operated by Premiere Concierge, Inc.):
RELATIONSHIP OF THE PARTIES:
Nothing herein contained shall be deemed or construed to create a partnership or joint venture between the parties hereto. PREMIERE CONCIERGE, INC. shall be providing all services hereunder as an independent contractor. The Home Owner, Property Manager, Owner’s Representative, Occupant, Renter, Lessee or Tenant hereby acknowledge that the Optima Camelview Village Concierge Service is operated by the independent organization, Premiere Concierge, Inc.
WARRANTIES AND DISCLAIMERS:
PREMIERE CONCIERGE, INC. MAKES NO REPRESENTATIONS OR WARRANTIES HEREUNDER EXCEPT THAT IT SHALL USE REASONABLE EFFORTS TO COMPLY WITH PREMIERE CONCIERGE’S OBLIGATIONS UNDER THIS AGREEMENT. PREMIERE CONCIERGE, INC. MAKES NO REPRESENTATIONS OR WARRANTIES, EXPRESS, IMPLIED OR OTHERWISE, CONCERNING THE RESULTS OF THE SERVICES PROVIDED HEREUNDER. PREMIERE CONCIERGE, INC. SPECIFICALLY DISCLAIMS ANY RESPONSIBILITY FOR, AND CLIENT SPECIFICALLY WAIVES ANY CLAIMS RELATED TO, LOSSES THAT MAY BE SUFFERED BY CLIENT AS A RESULT OF THE SERVICES PROVIDED OR PREMIERE CONCIERGE'S PERSONNEL IN PROVIDING SUCH SERVICES (EXCEPT THOSE DIRECTLY CAUSED BY THE GROSS NEGLIGENCE OR WILLFUL MISCONDUCT OF PREMIERE CONCIERGE, INC.).
CLIENT ACKNOWLEDGES AND AGREES THAT PREMIERE CONCIERGE, INC. DOES NOT OWN, OPERATE OR IN ANY MANNER EXERCISE ANY CONTROL OR INFLUENCE OVER THIRD PARTY SUPPLIERS OR VENDORS AND, THEREFORE, PREMIERE CONCIERGE, INC. SHALL NOT BE RESPONSIBLE FOR THE ACTS OR OMISSIONS OF SUCH SUPPLIERS OR VENDORS.
INDEMNITY BY CLIENT:
Client agrees to release, indemnify, defend and hold Premiere Concierge, Inc. and its officers, agents, shareholders, residents and directors from and against any and all losses, penalties, fines, costs, expenses (including reasonable attorneys' and consultants' fees), claims, damages, liabilities and judgments arising (directly or indirectly) out of or resulting from: (i) the services to be provided by Premiere Concierge, Inc. under this Agreement, including, without limitation, the acts or omissions (negligent or otherwise) of the officers, agents or employees of Premiere Concierge, Inc., which have not directly resulted from their gross negligence or willful misconduct, (ii) the acts or omissions (negligent or otherwise) of Client, its residents or its agents or (iii) Client's breach of any representation, warranty, covenant or agreement contained in this Agreement or any contract, arrangement or agreement made on behalf of Client by Premiere Concierge, Inc. This provision shall survive the expiration or termination of this Agreement.
LIMITATION OF LIABILITY:
NEITHER PREMIERE CONCIERGE, INC., NOR ANY PERSONNEL PROVIDED BY PREMIERE CONCIERGE, INC. SHALL BE LIABLE FOR ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES RESULTING FROM OR RELATED TO THIS AGREEMENT OR THE
SERVICES PROVIDED HEREUNDER OTHER THAN THAT WHICH RESULTS FROM SPECIFIC GROSS NEGLIGENCE OR INTENTIONAL ACTS OF MISCONDUCT. CLIENT HEREBY ACKNOWLEDGES AND AGREES THAT ITS RECOURSE AGAINST PREMIERE CONCIERGE, INC. FOR A BREACH OF THE AGREEMENT SHALL CONSIST SOLELY OF THE RIGHT TO DEMAND A REFUND OF ANY AND ALL AMOUNTS PAID BY CLIENT TO PREMIERE CONCIERGE, INC. PURSUANT TO SECTION "COMPENSATION AND FEES" ABOVE. THE TOTAL LIABILITY OF PREMIERE CONCIERGE, INC. (AND ALL STAFF, AGENTS OR PERSONNEL PROVIDED BY PREMIERE CONCIERGE, INC.) TO CLIENT RESULTING FROM OR RELATED TO THIS AGREEMENT OR THE SERVICES PROVIDED HEREUNDER SHALL IN NO EVENT EXCEED IN THE AGGREGATE THE AMOUNT PAID BY CLIENT TO PREMIERE CONCIERGE, INC. UNDER THIS AGREEMENT. THE PARTIES ACKNOWLEDGE THAT THERE ARE NO THIRD PARTY BENEFICIARIES TO THIS AGREEMENT.

(a) Except for the payment of the fees due hereunder, performance hereunder shall be extended for a period of time equal to the delay caused by or resulting from acts of God, war, civil disruption, casualty, telephone or electric service interruptions or malfunctions, labor difficulties, shortages of energy, labor, materials or equipment, government regulations, delays caused by either party to the other, or causes beyond the control of such party; (b) Client may not, by operation of law or otherwise, assign this Agreement, nor any rights or interests hereunder, without the prior written consent of Premiere Concierge, Inc.; (c) this Agreement shall be governed by and construed in accordance with the laws of the state of Arizona, notwithstanding the principles of conflicts of law; (d) this Agreement, together with all exhibits and Addendum's attached hereto, constitutes the entire agreement between the parties hereto with respect to the subject matter hereof, and this Agreement may not be modified except by a writing executed by the parties hereto; (e) this Agreement may be executed simultaneously in two or more counterparts, each of which shall be deemed an original but all of which together shall constitute one and the same instrument, binding on all parties to this Agreement, notwithstanding that all parties may not have executed all counterparts or the same counterpart; and (f) the individual signing below on behalf of Client has the full right, power and authority to sign this Agreement and to bind Client to the terms hereof.
TERMINATION:
Notwithstanding anything herein contained to the contrary, the parties shall have the right to terminate this Agreement at any time as follows: (a) Premiere Concierge, Inc. shall have the right to terminate this Agreement if client fails to pay any amount due hereunder within ten (10) days after such amount becomes due. Termination of this Agreement shall not affect any liability of the parties accruing prior to such termination.
